PLEASE READ CAREFULLY. These Terms of Use (“Terms”) form a legally binding agreement between you and ALBERT ALAN, doing business as AL STOCK TRADES (“AL STOCK TRADES,” “we,” “us,” or “our”). By accessing, registering for, subscribing to, downloading from, or otherwise using the AL STOCK TRADES website, software, terminal, models, scanners, courses, Discord server, newsletters, or any other product or service we offer (collectively, the “Platform” or “Services”), you agree to be bound by these Terms, our Privacy Policy, and any product-specific terms. If you do not agree to all of these Terms, you must not access or use the Platform.
1. Educational Publisher — No Advisory Services
AL STOCK TRADES is an educational publisher of general circulation. We provide market data, financial education, software tools, models, courses, and analytical resources for informational and educational purposes only.
AL STOCK TRADES is not a licensed securities dealer, broker, U.S. registered investment adviser (RIA), broker-dealer, financial planner, fiduciary, investment bank, attorney, accountant, or tax professional, and does not act in any such capacity. We are not registered with or supervised by the U.S. Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), any state securities regulator, or any legal licensing body.
No advisory, fiduciary, brokerage, custodial, agent-principal, or attorney-client relationship is created by your access to, registration with, payment for, or use of the Platform, regardless of frequency of use, payment amount, or duration.
Nothing on the Platform constitutes investment, legal, tax, accounting, or financial advice, nor a recommendation to buy, sell, hold, or refrain from buying, selling, or holding any security, derivative, option, future, cryptocurrency, or other financial instrument. You should consult a licensed financial advisor, tax professional, and/or attorney before making any financial decision.
2. Acceptance of Terms; Eligibility
By using the Platform, you represent, warrant, and agree that:
- You are at least eighteen (18) years of age and have the legal capacity to enter into a binding agreement;
- You are using the Platform on your own behalf, not on behalf of any other person;
- You have read, understood, and agree to these Terms in full;
- Your use does not violate any applicable law or regulation in your jurisdiction;
- You are responsible for compliance with all local, state, federal, and international laws applicable to your use; and
- All registration information you provide is true, accurate, current, and complete, and you will keep it updated.
The Platform is not directed at and not intended for persons under 18. We do not knowingly collect information from minors. If you are under 18, do not use the Platform.
3. Account Registration & Security
Certain Services require you to create an account. You agree to: (a) provide accurate and complete registration information including your legal name, email address, mailing address, and telephone number; (b) maintain and promptly update your account information; (c) keep your username, password, and login credentials strictly confidential; (d) not share, transfer, sell, lease, lend, or assign your account or credentials to any other person; and (e) immediately notify us of any unauthorized use, security breach, or suspected compromise of your account.
You are solely responsible for all activity occurring under your account, whether or not authorized by you. We may use technical means — including IP tracking, device fingerprinting, geolocation, and concurrent-session detection — to identify shared, transferred, or unauthorized accounts.
Password sharing and account sharing are strictly prohibited. If we determine, in our sole discretion, that an account is being shared or accessed by anyone other than the registered subscriber, we may immediately suspend or terminate the account, forfeit all paid fees, and pursue any other available remedies, all without refund and without prior notice.
4. Subscriptions, Lifetime Access & Auto-Renewal
4.1 Subscription Fees and Billing
Subscription fees are billed in advance to the payment method you provide. Charges will appear on your statement under “AL STOCK TRADES” or a similar descriptor. By providing payment information, you authorize us to charge your designated payment method for all applicable subscription fees, taxes, and other charges, including any updated card information we receive from card networks.
4.2 Auto-Renewal
YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW. Monthly subscriptions renew every 30 calendar days; annual subscriptions renew every 365 calendar days. Renewal occurs at the then-current rate, plus applicable taxes, charged to the payment method on file. You authorize recurring charges until you cancel in accordance with Section 5.
4.3 Lifetime Access Products
“Lifetime Access” means access for the operational lifetime of the Platform — not the lifetime of the user. Lifetime Access does not guarantee perpetual operation of the Platform, individual features, third-party data feeds, software tools, or specific models, all of which may be modified, replaced, or discontinued at our sole discretion. Lifetime Access may be revoked, with or without notice and without refund, for any breach of these Terms, including but not limited to account sharing, harassment, disruption of other users, abuse of staff or community members, or unauthorized commercial use.
4.4 Price Changes
We may change subscription rates at any time upon thirty (30) days’ prior notice via email or posting on the Platform. New rates apply to all renewals occurring after the notice period. Your continued use after the effective date constitutes acceptance of the new rate.
4.5 Failed Payment
If your payment is declined or rejected, we may suspend or terminate your access immediately, without notice and without refund. You agree to keep payment information current and to update expired or canceled cards promptly.
4.6 Trial Access
If your subscription begins with a free or discounted trial period, you will have access to the Services for the duration specified at sign-up. UNLESS YOU CANCEL BEFORE THE END OF THE TRIAL PERIOD, your subscription will automatically convert to a paid subscription at the then-current rate, and you authorize recurring charges to your payment method. Trials are subject to all terms of this Agreement, including the no-refund policy in Section 5.2. Only one trial per individual or household is permitted; we may, in our sole discretion, refuse trial access for any reason, including suspected abuse of trial offers.
5. Cancellation & No Refund Policy
5.1 Cancellation
You may cancel your subscription at any time by emailing al@alstocktrades.com. Cancellation prevents future renewal charges only and takes effect at the end of your current billing period. Cancellation does not entitle you to any refund of fees already paid, including for the current billing period. To ensure your cancellation is processed before the next renewal, you should submit your request prior to the renewal date; if a renewal charge has already been processed when your cancellation is received, that charge is final and non-refundable.
5.2 No Refunds
All sales are final. All fees paid to AL STOCK TRADES — including subscription fees, lifetime access fees, course fees, bundle fees, and any other charges — are non-refundable, in whole or in part, regardless of whether you use the Service.
This no-refund policy applies for any reason, including but not limited to: change of mind, dissatisfaction, personal financial loss, account termination for breach, technical issues, schedule conflicts, or trading outcomes. Where applicable law mandates a non-waivable right to refund, we will provide the minimum refund required by that law and no more.
5.3 Chargebacks
You agree not to initiate any chargeback or payment dispute with your card issuer for properly authorized charges. Improper chargebacks — including chargebacks contrary to this no-refund policy — constitute a material breach of these Terms and may result in immediate account termination, forfeiture of all fees, and a claim for damages including the chargeback amount plus all bank fees, processing costs, and reasonable attorneys’ fees.
6. License Grant & Permitted Use
Subject to your compliance with these Terms and timely payment of all applicable fees, AL STOCK TRADES grants you a limited, non-exclusive, non-transferable, non-sublicensable, non-assignable, revocable license to access and use the Platform solely for your personal, non-commercial educational use. This license does not transfer any ownership interest. The license terminates automatically upon any breach of these Terms or upon termination of your account.
7. Prohibited Conduct
You agree NOT to:
- Copy, reproduce, distribute, publish, display, perform, modify, adapt, translate, create derivative works of, or commercially exploit any portion of the Platform, software, or content;
- Reverse engineer, decompile, disassemble, or attempt to derive source code, models, formulas, or algorithms from any software or tool on the Platform;
- Use the Platform for any commercial purpose, including reselling, leasing, sublicensing, white-labeling, or providing the Service to third parties;
- Share, post, screen-record, screenshot, transcribe, livestream, or otherwise distribute Platform content (including private Discord discussions, paid course material, software outputs, model results, or screenshots of paid features) on social media, public forums, file-sharing services, or any third-party platform without our prior written consent;
- Use any robot, spider, crawler, scraper, automated tool, or manual process to access, extract, copy, harvest, monitor, or index any portion of the Platform;
- Use any portion of the Platform — including content, data, model output, or text — to train, fine-tune, evaluate, develop, build, or improve any artificial intelligence, machine learning, large language model (LLM), or similar system, whether for commercial or non-commercial use;
- Publish, distribute, post, share, transmit, or disclose any output, analysis, conclusion, valuation, signal, score, or insight generated by Platform tools, models, scanners, trackers, or indicators based on your inputs (collectively, “Derived Outputs”) to any individual or entity, in any form or medium, whether internal or external, without our prior written consent — including without limitation posting Derived Outputs on social media, public forums, newsletters, blogs, screenshots, or providing them to third parties;
- Circumvent, disable, or interfere with any technical protection, access control, rate limit, license check, or security measure;
- Impersonate any person, misrepresent your identity or affiliation, or use false registration information;
- Attack, disrupt, or interfere with the operation of the Platform, including via denial-of-service attacks, viruses, malware, or malicious code;
- Attempt unauthorized access to any portion of the Platform, other accounts, or related systems;
- Use the Platform in violation of any law, regulation, or third-party right;
- Harvest or collect information about other users; or
- Engage in conduct that is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable.
8. Intellectual Property Rights
All content displayed on or distributed through the Platform — including but not limited to text, graphics, software, code, models, formulas, dashboards, screenshots, courses, videos, audio, transcripts, scanners, trackers, indicators, sentiment scores, episode statistics, and backtests (collectively, “Content”) — is owned by or licensed to AL STOCK TRADES and is protected by U.S. and international copyright, trademark, trade secret, and other intellectual property laws. AL STOCK TRADES is the copyright owner of all original Content unless otherwise indicated.
“AL STOCK TRADES” and associated logos, marks, and names are registered and/or common law trademarks of AL STOCK TRADES. Other parties’ trademarks referred to on the Platform are the property of their respective owners and are used for identification purposes only.
Confidentiality of Derived Outputs. Any output, analysis, conclusion, valuation, signal, score, projection, or insight generated by Platform tools, models, scanners, trackers, indicators, or other features based on your inputs or interactions (“Derived Outputs”) shall be treated as confidential and proprietary information of AL STOCK TRADES. You may use Derived Outputs solely for your personal, non-commercial educational use. You shall not publish, distribute, post, share, transmit, sell, license, or disclose any Derived Output to any individual or entity, in any form or medium, whether internal or external, without our prior written consent.
You receive no ownership rights in any Content or Derived Output. Unauthorized use is expressly prohibited and may result in civil and criminal penalties to the maximum extent permitted by law. We will pursue infringement claims aggressively.
9. User Submissions, Feedback & Community Content
Any feedback, suggestions, ideas, requests, comments, recommendations, code contributions, or other submissions you provide to us (“Submissions”) are non-confidential and become our property. You hereby grant AL STOCK TRADES a worldwide, perpetual, irrevocable, royalty-free, sublicensable, transferable license to use, reproduce, modify, adapt, publish, translate, distribute, perform, display, and exploit such Submissions for any purpose, without compensation, attribution, or notification to you.
Content posted by users in any community feature (including Discord) reflects only the personal opinions of the individual posters and does not constitute AL STOCK TRADES’ views, recommendations, or endorsements. We do not vet, control, or guarantee user-generated content and disclaim all liability for it.
10. Third-Party Content, Links & Brokerage
The Platform may include data, content, software, links, or services provided by third parties (“Third-Party Materials”), including but not limited to market data feeds, news, charts, transcripts, ratings, analyst estimates, brokerage links, and exchange data. Third-Party Materials are provided “as is” and “as available” for convenience only.
We do not control, endorse, guarantee, or assume responsibility for any Third-Party Material. We do not guarantee the accuracy, completeness, timeliness, reliability, or availability of any Third-Party Material. Your use of any Third-Party Material is at your own risk and is governed by the third party’s own terms and policies.
Links to brokerage, exchange, or financial-service websites are provided as a convenience only. AL STOCK TRADES does not endorse or recommend any broker, exchange, or financial service. We may receive referral compensation from some third parties, which does not affect our editorial independence. You are solely responsible for any account, agreement, or transaction you enter with a third party. AL STOCK TRADES is not a party to any agreement between you and any third party and disclaims all liability arising from such relationships.
11. Educational Use Only — No Advice, No Signals, No Recommendations
The Platform is an educational resource. All content — including but not limited to data feeds, models, scanners, trackers, indicators, episode statistics, backtests, sentiment scores, valuation outputs, projections, courses, transcripts, examples, illustrations involving any specific publicly traded or private company, and Discord communications — is provided strictly for informational and educational purposes only.
Nothing presented on the Platform constitutes:
- Investment advice, financial planning, or personalized recommendation;
- A trading signal, alert, or instruction to act;
- Legal, tax, accounting, or fiduciary advice;
- A solicitation, offer, or recommendation to buy, sell, hold, or refrain from buying, selling, or holding any security, derivative, option, future, cryptocurrency, or other financial instrument; or
- An offer of brokerage, custody, advisory, or fiduciary services.
References to specific securities, tickers, or companies are illustrative only and are used solely to teach concepts such as discounted cash flow, valuation methodology, technical patterns, and historical statistics. Such references do not constitute endorsement, recommendation, or guidance to act. If a model identifies a gap between intrinsic value and market price, this is a mathematical output based on user inputs and financial theory, not a directive to act.
12. Investment Risk Disclosure
All investing carries risk, including the possible total loss of principal. Past performance does not guarantee future results, and no representation is made that any account, strategy, or user will or is likely to achieve results similar to those discussed.
Forward-looking projections, Monte-Carlo simulations, probability estimates, episode statistics, and forward-return models are inherently uncertain and may differ materially from actual outcomes. Hypothetical and backtested performance results have inherent limitations and do not represent actual trading or actual investor returns.
Options, derivatives, futures, and cryptocurrencies carry additional substantial risks, including but not limited to: total loss of premium; obligations exceeding initial investment; rapid value loss in unregulated venues; counterparty risk; liquidity risk; and regulatory risk. These instruments are not suitable for all investors.
You acknowledge that you have read, understood, and accept these risks. You assume full responsibility for any decision made or action taken based on Platform content.
13. Disclaimer of Warranties
The platform is provided “as is,” “as available,” and “with all faults.” To the maximum extent permitted by applicable law, AL STOCK TRADES, its owner, officers, employees, contractors, content providers, and licensors (collectively, “Released Parties”) disclaim all warranties of any kind, express or implied, including without limitation: merchantability; fitness for a particular purpose; non-infringement; accuracy; completeness; timeliness; reliability; security; uninterrupted operation; and absence of viruses or other harmful components.
We make no warranty that: (a) the Platform will meet your requirements or expectations; (b) operation will be uninterrupted, secure, or error-free; (c) any data or output will be accurate, current, or complete; (d) defects will be corrected; (e) the Platform is appropriate or available in any particular jurisdiction; or (f) results obtained from using the Platform will be effective, reliable, or accurate.
Some jurisdictions do not permit certain warranty exclusions; in those jurisdictions, our liability is limited to the maximum extent permitted by law.
14. Limitation of Liability
To the maximum extent permitted by applicable law:
(a) ZERO LIABILITY FOR TRADING OR INVESTMENT LOSSES. You expressly acknowledge and agree that AL STOCK TRADES is an educational publisher, not an investment adviser, and that you are solely responsible for your own investment, trading, and financial decisions. The Released Parties shall have NO LIABILITY WHATSOEVER for any losses, damages, or harm you may suffer from buying, selling, holding, trading, or investing in any security, derivative, option, future, cryptocurrency, or other financial instrument — including without limitation trading losses, investment losses, lost profits, lost opportunity, margin calls, or any other financial harm — whether or not such decisions were informed by, inspired by, or made in reliance upon any Platform content, model, output, course, Discord discussion, or other resource. Educational content does not constitute investment advice, and the Released Parties bear no responsibility for any financial decision you make using such content.
(b) NO INDIRECT OR CONSEQUENTIAL DAMAGES. The Released Parties shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages of any kind, including without limitation lost profits, lost opportunity, lost data, business interruption, loss of goodwill, or cost of substitute services, arising out of or relating to your access to or use of, or inability to use, the Platform, even if advised of the possibility of such damages.
(c) AGGREGATE CAP. Notwithstanding the broad exclusions above, in the unlikely event that any court or arbitrator finds the Released Parties liable to you despite the foregoing exclusions, the total aggregate liability of the Released Parties to you, in connection with the Platform or these Terms, shall not exceed five hundred U.S. dollars (US$500.00) in the aggregate, regardless of the legal theory, the amount you paid for any product, subscription, or service, or the nature of the claim. This cap operates only as a ceiling on liability that has otherwise been established by a court or arbitrator; it does not, by itself, create or imply any obligation to pay any amount.
(d) APPLICATION AND BASIS OF BARGAIN. The limitations in this Section apply regardless of legal theory (whether based in contract, tort including negligence, strict liability, statute, or otherwise), and apply even if a limited remedy is found to have failed of its essential purpose. These limitations are fundamental to the bargain between you and us. Without these limitations, AL STOCK TRADES would not be able to offer the Platform at the prices charged.
Some jurisdictions do not allow certain limitations on liability for consequential or incidental damages; in those jurisdictions, our liability is limited to the minimum extent permitted by law.
15. Indemnification
You agree to defend, indemnify, and hold harmless the Released Parties from and against any and all claims, demands, damages, losses, liabilities, settlements, costs, and expenses — including reasonable attorneys’ fees, court costs, and accounting fees — arising out of or related to: (a) your access to or use of the Platform; (b) your violation of these Terms; (c) your violation of any law or third-party right; (d) any content you submit; (e) any reliance by you or any third party on Platform content; (f) any investment, trading, financial, legal, or tax decision made by you or anyone using your account; or (g) any third party gaining access to the Platform through your account credentials.
We reserve the right, at our own expense, to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with our defense.
16. Discord & Community Conduct
If the Platform includes access to a Discord server or other community feature, you agree:
- To treat all members, moderators, and staff with respect;
- NOT to harass, bully, threaten, defame, dox, or harm any user, member, owner, employee, or contractor;
- NOT to post personalized investment recommendations, trading signals, false information, illegal content, copyrighted third-party material, or solicitations;
- That moderators may remove content, mute, ban, or otherwise discipline users at their sole discretion, with or without notice and without refund;
- That community discussions are personal opinions of individual users, not AL STOCK TRADES’ recommendations or advice; and
- That community access may be revoked at any time, for any reason, with or without notice, and without refund.
17. Termination
We may suspend, terminate, or restrict your access at any time, in our sole discretion, with or without notice, with or without cause, and without refund, including but not limited to for: violation of these Terms; conduct harmful to other users or to the Platform; failed payment; chargeback; legal compulsion; or business decisions of AL STOCK TRADES.
You may terminate by following the cancellation procedure in Section 5. Termination does not relieve you of any obligation arising prior to termination, and the following Sections survive termination: 1, 5–15, 17–28.
18. Modifications to Terms
We may modify these Terms at any time by posting an updated version on the Platform or by sending you notice via email. Material changes take effect fourteen (14) days after posting or notice. Your continued use of the Platform after the effective date constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, your sole remedy is to stop using the Platform and cancel your subscription.
19. Modifications to Platform; Service Availability
We may modify, suspend, replace, discontinue, or remove any feature, content, data feed, model, course, software tool, or other component of the Platform at any time, with or without notice, and without liability to you or any third party. The Platform may be temporarily unavailable due to scheduled or unscheduled maintenance, updates, equipment malfunctions, network outages, third-party service provider failures, or causes beyond our control. Temporary interruptions, maintenance-related downtime, equipment malfunctions, network outages, or related service disruptions shall NOT constitute a breach of these Terms and shall NOT entitle you to any credit, refund, or damages. We do not guarantee continuous availability of any specific feature, integration, or third-party data source.
20. Geographic Availability; Compliance
We make no representation that the Platform is appropriate or available for use in any particular jurisdiction. We may restrict access from any geographic area in our sole discretion. You are responsible for compliance with all laws, registrations, filings, and tax obligations applicable to your access to or use of the Platform.
21. Governing Law & Venue
These Terms are governed by the laws of the State in which AL STOCK TRADES is registered and resident, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
For any dispute not subject to mandatory arbitration, you consent to the exclusive personal jurisdiction and venue of state and federal courts located in the County and State in which AL STOCK TRADES is registered.
22. Binding Arbitration & Class Action Waiver
Please read this section carefully. It affects your legal rights, including your right to bring a lawsuit and your right to participate in class actions.
22.1 Agreement to Arbitrate
Any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or any related transaction shall be resolved by final and binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect. Judgment on any arbitral award may be entered in any court of competent jurisdiction.
22.2 Class Action Waiver
You and AL STOCK TRADES each waive any right to file or participate in any class action, collective action, mass action, or representative action. All disputes between you and AL STOCK TRADES must be brought individually. The arbitrator may not consolidate claims or preside over any class, collective, or representative proceeding. If this class-action waiver is found unenforceable, the entire arbitration agreement in this Section is void, but no other provision of these Terms is affected.
22.3 Venue, Costs, Confidentiality
Arbitration shall take place in the County and State where AL STOCK TRADES is registered, or remotely by video conference at our option. Each party bears its own attorneys’ fees and costs except as required by statute. Arbitration is confidential; neither party may disclose the existence, content, or results of arbitration without the other’s prior written consent, except as required by law.
22.4 Exceptions
Either party may bring a qualifying dispute in small-claims court. Either party may seek temporary injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.
22.5 Opt-Out
You may opt out of this arbitration agreement by sending written notice to al@alstocktrades.com within thirty (30) days of first accepting these Terms. The notice must include your name, email, and a clear statement that you are opting out of arbitration. Opt-out is the only way to preserve your right to litigate or join class actions.
23. Limitation of Time to Bring Claims
Any claim or cause of action arising out of or related to these Terms or the Platform must be commenced within one (1) year after the cause of action accrues. Otherwise, such claim or cause of action is permanently barred.
24. Force Majeure
We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, pandemic or epidemic, government action or regulation, internet outages, utility failures, third-party service provider failures, hosting provider failures, exchange or data feed outages, labor disputes, and shortages.
25. Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder, by operation of law or otherwise, without our prior written consent. Any attempted assignment without consent is void. AL STOCK TRADES may assign or transfer these Terms freely, including in connection with a sale, merger, acquisition, or other corporate transaction, without notice or consent.
26. Electronic Communications & Notices
By using the Platform, you consent to receive communications from us electronically — including by email, in-app message, or posting on the Platform. All electronic communications satisfy any legal requirement that such communications be in writing.
Notices to you may be delivered by email to your registered address, by in-app notification, by posting on the Platform, or by postal mail. Notices to us must be sent to al@alstocktrades.com.
27. Severability; No Waiver; Headings
If any provision of these Terms is held unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or, if not possible, severed; the remaining provisions remain in full force and effect.
Our failure to enforce any provision is not a waiver of that or any other provision. Section headings are for convenience only and do not affect interpretation. The terms “include” and “including” are non-exhaustive.
28. Entire Agreement
These Terms, together with our Privacy Policy and any product-specific terms or order forms expressly incorporated by reference, constitute the entire agreement between you and AL STOCK TRADES regarding your use of the Platform and supersede all prior or contemporaneous agreements, communications, or understandings, whether written or oral.
29. Acknowledgment
By accessing or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms in full, including the Disclaimer of Warranties (Section 13), Limitation of Liability (Section 14), Indemnification (Section 15), Binding Arbitration and Class Action Waiver (Section 22), and Limitation of Time to Bring Claims (Section 23). If any of these provisions are unacceptable to you, your sole remedy is to stop using the Platform.
